Customer Terms and Conditions - Please READ this BEFORE ACCESSING the TilYearEnd LLC (“TYE”), Online Videos and Photos Gallery System. By ACCESSING the TilYearEnd® Online System, you agree to be BOUND by the terms and conditions set below. IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS AND CONDITIONS, YOU MAY NOT USE THE TYE SYSTEM.

These Terms of Use Statement covers the web site TilYearEnd Systems (TYEs), managed by the TilYearEnd LLC, Company (TYEc). Please read these terms carefully before using this web site.

1. By accessing and using the TYE site (by creating or using a username and the associated password to access this site), you accept these terms and agree to be subjected to the terms and conditions described in this document. If you do not agree to these terms of use, please select cancel to exit this site. The TilYearEnd LLC, reserves the right to update the Terms of Use Statement at any time without prior notice to you, so please check this document periodically for changes. In addition, you will be subjected to any additional posted guidelines or rules applicable to any service, which may be revised from time to time. All such guidelines or rules are hereby incorporated by reference into these Terms of Use.
   

2. If you provide any information that is untrue, inaccurate, not current, or incomplete, or TilYearEnd LLC or its employees, agents, and contractors have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, TilYearEnd LLC or its employees, agents, and contractors have the right to suspend and refuse any and all of your current or future use of the Site. You, not TilYearEnd LLC or its employees, agents, and contractors, are solely responsible for all content (i.e., information, data text, payment information or other) you upload, post, email or otherwise transmit.

3. Eligibility for use of and access to this TYE site is subject to final approval and acceptance by TilYearEnd LLC.

4. All Customers must properly register with this site, obtain a personal username, and create a unique password. All information provided must be true, accurate, current, and complete. By registering with this TYE site, you hereby certify that you are in compliance with all applicable laws and regulations. This includes complying with the following security requirements:

   • Passwords and Customer/TYE IDs are not to be disclosed.

   • You are fully responsible for maintaining the confidentiality of your password. You are fully responsible for all activities that occur under your username/password, or your account.

   • You agree to immediately notify TilYearEnd LLC of any unauthorized use of your username/password, or account or any other breach of security of which you are aware.

   • You agree to properly sign out (logoff) of your account at the end of each session.

   • Antivirus software must be installed and set to run automatically on all computers used to access this TYE site. All TYE Customers must maintain subscriptions with an antivirus software vendor to keep antivirus current. Customers are responsible for performing full scans of their systems on a regular basis to eliminate any virus contamination. If a Customer is unable to disinfect their system for any reason, that system is not to be utilized to access TYE System until it is virus-free. Please contact your antivirus software vendor for instruction. Should a virus be instituted into the TYE system by a Customer, that Customer will be contacted immediately by TilYearEnd LLC. The Customer's TYE account will be suspended until such time as the Customer can prove its systems are virus-free and the TYE system is analyzed by TYE systems administrators and TilYearEnd LLC security personnel to determine the extent of any related damage.

   • TilYearEnd LLC ASSUMES NO LIABILITY FOR ANY LOSS OR DAMAGE ARISING FROM YOUR FAILURE TO COMPLY WITH THESE REQUIREMENTS.

5. TilYearEnd LLC has the right, without limitation, to suspend or terminate any account and to refuse any and all current or future use of the site or any portion thereof.

6. To protect your account and yourself of sensitive information being lost or damage, all Customers must properly exit the system by correctly signing out.

7. Customers are advised that an automatic inactivity logout of their username will take place after 30 minutes of inactivity in the system.

8. TilYearEnd LLC will not release nor use your stored information for purposes other than those associated with the Customer requested services and update information due to such Customer.

9. Use of the TYE system does not constitute compliance with the law. Customers operating the TYE system are responsible for ensuring compliance.

10. TilYearEnd LLC assumes no responsibility for the timeliness, deletion, failed or untimely delivery, or failure to store any User information or communications.

11. TilYearEnd LLC MAKES NO REPRESENTATIONS, WARRANTIES, OR ASSURANCES AS TO THE AVAILABILITY OF THE SITE.

12. TilYearEnd LLC reserves the right to modify, suspend, or discontinue, temporarily or permanently, the site (or any part thereof) for any reason and without notice. TilYearEnd LLC is not liable for any damages that may be caused by any modification, suspension, or discontinuance of this site. The information and materials herein are subject to change.

13. The services provided through TYEs are confidential for use solely as directed and authorized by the Customers that requested for these services.

14. NO PRIVATE RIGHT CREATED: This site is provided by TilYearEnd LLC for the convenience of customers that need this type of service rendered to them. It does not confer nor create any rights or privileges for any person or party.

15. DISCLAIMER: NEITHER TILYEAREND LLC, NOR ANY OF ITS SUBSIDIARIES, SHALL BE LIABLE FOR ERRORS, DELAYS, OR INTERRUPTIONS IN PROVIDING THIS SERVICE, ERRORS IN JUDGMENT, OR ANY OF THEIR OWN ACTS OR OMISSIONS, INCLUDING THEIR OWN NEGLIGENT ACTS OR OMISSIONS. TILYEAREND LLC AND ITS SUBSIDIARIES SHALL HAVE NO RESPONSIBILITY FOR AND HEREBY EXPRESSLY DISCLAIM ANY WARRANTY, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, IN CONNECTION WITH THE PROVISION OF THIS SERVICE HEREUNDER. FURTHER, CUSTOMER ACKNOWLEDGES AND AGREES IT HAS A DUTY TO AND SHALL REVIEW AND VERIFY THE ACCURACY AND CORRECTNESS OF ALL INFORMATION PRIOR TO USE, SUBMISSION OR TRANSMISSION.

16. LIMITATION OF LIABILITY: IN NO EVENT WILL TILYEAREND LLC OR ITS SUBSIDIARIES BE LIABLE FOR ANY DAMAGES, INCLUDING WITHOUT LIMITATION SPECIAL, CONSEQUENTIAL, INCIDENTAL, INDIRECT, OR EXEMPLARY DAMAGES, ARISING OUT OF THE PROVISION OR THE ATTEMPT TO PROVIDE SERVICES HEREUNDER IN EXCESS OF THE AMOUNT PAID BY USER, OR THE PARTY ON WHOSE BEHALF USER IS ACTING, FOR THE SERVICE RELATED TO THE DAMAGE. THIS LIMITATION OF LIABILITY SHALL NOT APPLY TO DAMAGE TO PROPERTY OR PERSONS CAUSED BY THE GROSS NEGLIGENCE OR WILLFUL OR WANTON MISCONDUCT OF TILYEAREND LLC. THE SOLE LIABILITY OF TILYEAREND LLC AND ITS SUBSIDIARIES, AND THE EXCLUSIVE REMEDY FOR ANY INJURY OR DAMAGE ARISING OUT OF THE ACQUISITION OF THIS SERVICE PROVIDED BY TILYEAREND LLC OR ITS SUBSIDIARIES SHALL BE THE REMEDY SPECIFIED HEREIN.

17. RELEASE: CUSTOMER AND THE PARTY ON WHOSE BEHALF CUSTOMER IS ACTING RELEASE AND COVENANT NOT TO SUE TilYearEnd LLC, AND ITS SUBSIDIARIES.
